Terms of Service

These Terms of Service ("Terms") govern your use of the Tradeora mobile application (the "App"), operated by Jack P McLoughlin, trading as Tradeora ("we", "us", "our").

If ownership or operation of the App is transferred to a company or other legal entity in the future, these Terms will automatically apply to that entity as the operator of the App from the date of transfer, and we will update these Terms accordingly.

By creating an account or using the App, you agree to be bound by these Terms. If you do not agree, you must not use the App.

Your use of the App is also governed by our Privacy Policy, which explains how we collect, use and protect your personal information.

1. What Tradeora Is (and Is Not)

Tradeora is an educational trading discipline, journaling and self-improvement platform designed to help users build consistent trading habits, record their trading activity and monitor their personal progress.

Tradeora is provided solely for educational and informational purposes.

Tradeora is not:

• a broker;
• an investment platform;
• a financial adviser;
• a tax adviser;
• a wealth manager; or
• a provider of regulated financial services.

Tradeora is not authorised, licensed or regulated by the Jersey Financial Services Commission (JFSC) or by any other financial services regulator, and does not carry on any regulated financial services business.

Nothing contained within the App constitutes financial, investment, legal or tax advice, nor should anything in the App be interpreted as a recommendation to buy, sell or hold any financial instrument.

You remain solely responsible for every trading and investment decision you make.

Trading and investing involve substantial financial risk, including the loss of your entire investment. You should always conduct your own research and obtain independent professional advice before making financial decisions.

We make no representation or guarantee that using Tradeora will improve your trading performance, profitability, discipline or investment outcomes.

2. Eligibility

To use the App you must:

• be at least 18 years old; and
• be legally capable of entering into binding contracts.

By using the App, you confirm that you satisfy these requirements.

3. Your Account

You are responsible for:

• maintaining the confidentiality of your login credentials;
• all activity carried out using your account;
• ensuring the information you provide is accurate and up to date.

Where available, we recommend enabling additional security features such as biometric authentication or two-factor authentication.

You may delete your account at any time using the App.

4. Subscriptions and Payments

Tradeora is available through a paid subscription ("Tradeora Pro").

Subscriptions are purchased through the Apple App Store and any other supported app marketplace.

By purchasing a subscription you agree that:

• subscription pricing is displayed before purchase;
• billing is handled by the relevant app marketplace;
• subscriptions automatically renew unless cancelled;
• free trials (where offered) automatically convert into paid subscriptions unless cancelled before the trial ends;
• cancellations take effect at the end of the current billing period;
• subscription fees are generally non-refundable except where required by law or by the policies of the relevant app marketplace.

Refund requests are handled by the applicable app marketplace.

5. Acceptable Use

You agree not to:

• use the App unlawfully;
• harass, threaten or abuse other users;
• upload unlawful, offensive, defamatory, hateful or infringing content;
• impersonate another individual;
• upload viruses, malware or malicious software;
• interfere with or disrupt the operation of the App;
• reverse engineer, decompile or attempt to gain unauthorised access to the App or its systems;
• manipulate leaderboards, XP, achievements, streaks or other features through automation, exploits or fraudulent behaviour.

We reserve the right to investigate suspected misuse and may suspend or permanently terminate accounts where these Terms are breached.

We also provide reporting and blocking tools to help maintain a safe community.

6. User Content

You retain ownership of all content that you create within the App, including journal entries, uploaded images and profile information.

You grant us a worldwide, non-exclusive, royalty-free licence to store, process, display and use your content solely for the purposes of:

• operating the App;
• synchronising your information across devices;
• providing features you choose to use;
• maintaining backups;
• improving the functionality of the App.

You confirm that you have all necessary rights to upload any content you submit.

7. Reviews, Insights and Automated Processing

Tradeora generates summaries, insights and observations from your own journal entries and activity. These are calculated automatically on your device from the information you have logged. They are not produced by artificial intelligence, and your journal entries are not sent to any artificial intelligence provider.

Tradeora does use automated artificial intelligence moderation for one purpose only: checking uploaded profile pictures for content unsuitable for a general audience. Images flagged by that check will not be stored or displayed.

Any summary, insight, statistic or observation the App produces:

• depends entirely on the accuracy and completeness of the information you enter;
• may be incomplete or based on too little data to be meaningful;
• should always be independently reviewed.

Such content is provided solely for informational purposes and must never be relied upon as financial, investment, legal or tax advice.

8. XP, Streaks, Badges and Leaderboards

Tradeora contains gamified features including:

• XP;
• streaks;
• badges;
• achievements;
• levels;
• leaderboards.

These features:

• have no cash or monetary value;
• are not transferable;
• do not create ownership rights.

We reserve the right to modify, rebalance, remove or reset XP, streaks, badges, achievements and rankings where necessary, including where fraud, abuse or technical errors have occurred.

We do not guarantee that rankings, XP calculations or achievement awards will always be accurate.

9. Intellectual Property

Tradeora and all associated software, branding, logos, graphics, designs, interfaces and content are owned by us or our licensors and are protected by applicable intellectual property laws.

Except for the limited licence to use the App in accordance with these Terms, no rights are granted to you.

You may not copy, reproduce, distribute, modify or commercially exploit any part of the App without our prior written permission.

10. Beta Features

From time to time we may release beta, preview or experimental features.

These features may:

• contain bugs;
• change significantly;
• be withdrawn without notice.

Beta features are provided "as available" without warranties.

11. Suspension and Termination

You may stop using the App and delete your account at any time.

We may suspend or terminate your account where:

• you breach these Terms;
• we reasonably believe your account poses a security risk;
• we detect fraud, abuse or manipulation;
• we are required to do so by law.

Sections concerning intellectual property, disclaimers, liability and governing law continue to apply after termination.

12. Disclaimer

The App is provided on an "as is" and "as available" basis.

To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including warranties relating to:

• uninterrupted availability;
• accuracy;
• reliability;
• merchantability;
• fitness for a particular purpose;
• non-infringement;
• security.

We do not guarantee that the App will always be available, free from defects or suitable for your individual requirements.

13. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any:

• indirect losses;
• consequential losses;
• loss of profits;
• trading or investment losses;
• business interruption;
• loss of goodwill;
• loss of opportunity;
• loss of data.

Our total liability arising from any claim relating to the App shall not exceed the total subscription fees paid by you during the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes liability where such exclusion is prohibited by applicable law.

14. Force Majeure

We are not responsible for delays or failures caused by events beyond our reasonable control, including:

• internet outages;
• cyber attacks;
• natural disasters;
• acts of government;
• failures of third-party service providers;
• telecommunications failures;
• power outages.

15. Changes to the App and These Terms

We may modify, improve, suspend or discontinue any part of the App at any time.

We may also update these Terms from time to time.

Where changes are material, we will provide notice through the App or by other reasonable means.

Your continued use of the App after updated Terms become effective constitutes acceptance of those changes.

16. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding your use of the App and supersede all previous agreements, understandings or communications relating to the App.

18. Governing Law

These Terms are governed by the laws of Jersey, Channel Islands.

Any dispute arising out of or relating to these Terms or your use of the App shall be subject to the exclusive jurisdiction of the courts of Jersey, except where mandatory consumer protection laws in your country of residence provide otherwise.
